Welcome to "Cali - AI Nutrition Tracker" (hereinafter: "Cali"), a smart app for nutritional analysis and tracking, available for download on the Apple App Store and Google Play, operated by Corefit Ltd., a company duly registered in the State of Israel (Companies Registrar number: 517325544) (hereinafter: "Cali", "the Company", "we", "us" or "our"). The provisions of these terms (hereinafter: "the Terms" or "the Terms of Use") shall apply to any use you make of the app, the website, and any related service (hereinafter: "the Service"). You are therefore asked to read these Terms in full and carefully.

Your very use of the Service constitutes your full consent to accept and abide by the provisions of these Terms. If you do not agree to any of its terms, you are asked not to make any use of the Service. Wherever these Terms use the masculine form, the feminine is also implied. Section headings are provided for convenience and orientation only, and shall not be used for the purpose of interpreting these Terms.

1. Background and Description of the Service

Cali is a smartphone app (iOS and Android), available for download through the Apple App Store and Google Play, which provides users with an advanced digital tool for managing and tracking nutrition and eating habits using artificial intelligence technology. The Service includes, among other things, scanning and analysis of food images, identification of nutritional values, daily food diary management, automatic calorie and macro calculation, tracking of proteins, carbohydrates and fats, personalized recipes, daily step and physical activity tracking, a user community for sharing content, cloud synchronization, smart notifications and reminders, and additional tools to advance the user's personal health and nutrition goals.

The Service is offered to end users for personal use, and allows the user to manage their nutrition diary, receive personalized data-driven insights, and progress toward the personal goals they have set. Any use of the Service is subject to these Terms and to the Privacy Policy, as updated from time to time.

2. Definitions

"Use of the Service": any use of any kind and in any existing or future manner, including via a computer, mobile phone, tablet or any other device. The very use of the Service and its contents is subject to the terms detailed in these Terms, and the very act of registering attests that the user has read these Terms carefully, understood their direct and indirect implications, and expressed consent to what is stated therein.

"User" or "Customer": any private individual who uses the Service, registers for it, or creates any other interaction with it.

"Personal Details": any identifying information of the user, including first name and last name, email address, age, gender, physical data (weight, height), lifestyle data, fitness and nutrition goals, and any other identifying information provided by the user for the purpose of receiving the Service.

3. Eligibility, Minimum Age and Geographic Restriction

Minimum age: The Service is intended for individuals aged 16 and over. By using the Service, you declare and confirm that you are at least 16 years of age. Users aged 16 to 18 are required to obtain the approval of a parent or legal guardian prior to using the Service and providing personal details.

Geographic restriction: The Service is intended for exclusive use within the State of Israel. Access to or use of the Service outside Israel is not permitted.

Right to prevent access: The Service management may prevent any user's access to the Service by any means available to it, to some or all of the services, for a fixed or indefinite period, at its sole discretion and for any reason whatsoever, without any obligation to explain or justify such decision. A user whose participation has been prevented as stated shall not be entitled to participate again under another username during the period of prevention.

4. Registration for the Service and Account Management

Account creation: In order to use the Service, the user must complete the registration questionnaire (Onboarding) in the app and connect their account to a Google account or an Apple account. Registration constitutes full consent to these Terms and to the Privacy Policy.

Account security: Access to the Service is conditioned on the use of personal login details only, and responsibility for maintaining the confidentiality of the login details rests solely with the user. The Service management will make reasonable efforts to ensure that access to the Service is available to the user at all times, except for temporary interruptions due to maintenance activities, technological upgrades, or circumstances beyond the control of the Service management.

Unauthorized use: The Service management shall be entitled to take legal or technological measures against any unauthorized use of the login details, including immediately blocking access to the Service without a refund, and this without derogating from any additional remedy available to the Service management under law.

Account cancellation: The user may cancel their account at any time through the app settings. Upon cancellation of the account, your access to the Service will cease immediately, and your personal details will be deleted in accordance with the Privacy Policy and the provisions of the law.

5. User Responsibility and Prohibited Uses

Compliance with the law: The user undertakes to use the Service in accordance with all law and every relevant statutory provision.

Service security: Each user undertakes not to breach or disable any safety measure or security code, of any kind and type whatsoever, present or future, that exists in the Service.

Prohibited actions: The user undertakes not to perform one or more of the following actions:

Community content and recipes: To the extent that you upload content to the community, including recipes, images, comments, reviews or personal experiences, you are solely responsible for the content you submit, and you declare that it is owned by you or that you have all the permissions required to publish it. The Company may, at its sole discretion, refuse to publish, remove, or edit any user content, and this without derogating from any additional remedy available to the Company under law.

• Violation of any law or regulation applicable to them.
• Infringement of others' intellectual property rights, including copyrights, trademarks and trade secrets.
• Attempting to gain unauthorized access to the Company's systems, servers or networks.
• Operating any computer application or other means for the purpose of isolating, scanning, collecting or harvesting information or content from the Service, including for the purpose of creating a database, compilation, display or retransmission of the information.
• Displaying content from the Service within a frame (Framing), displaying information without advertisements or other commercial content, linking information from the Service to other content, or embedding information (Embedding).
• Performing reverse engineering (Reverse Engineering), disassembly, decryption, or any other attempt to expose the source code, the algorithms, the models, the artificial intelligence instructions (Prompts), the API structure, or any other proprietary logic of the Service, whether for the purpose of developing a competing product or for any other purpose.
• Using the Service for any unlawful, misleading, harmful, insulting, offensive purpose, or one contrary to public policy.
• Posting, in the user community, in comments, or in any shared area of the Service, offensive, inciting, racist, threatening, pornographic, misleading content, spam, unauthorized commercial advertisements, or content that infringes third-party rights or the provisions of any law.
• Impersonating another person or entity, collecting other users' details, or harassing community users in any way.

6. Integration of Third-Party Services

Google Gemini API: We use Google's Gemini services in order to analyze and process food images and additional data within the Service. By using the Service, you agree to Google's Terms of Use. For further details about how data is handled by Google, please refer to their official documentation.

Open Food Facts API: The Service integrates with the Open Food Facts API for the purpose of providing up-to-date nutritional information. By using the Service, you agree to the Open Food Facts Terms of Use. Appropriate attribution to Open Food Facts is provided within the Service in accordance with their terms.

It is clarified that the Company is not responsible for the integrity, availability, accuracy or continued operation of such third-party services, nor for any change in the terms of these providers.

7. Intellectual Property

Ownership: All content, features, and functionality of the Service, including texts, images, videos, designs, logos, icons, user interface, graphics, algorithms, models, source code, data structure, and professional descriptions, are the exclusive property of the Company and are protected in accordance with the laws of copyright, trademarks and intellectual property. Copying, publishing, distributing, or any other commercial use of this content is strictly prohibited, unless explicit prior written consent has been given by the Company.

User content: By submitting content to the Service (including food images, personal data, feedback and testimonials), you grant the Company a non-exclusive, royalty-free, transferable, sublicensable, and worldwide license to use, display and process this content within the Service and for the purpose of improving it. The user declares and confirms that they hold all the rights to the content they submitted, and that its use does not infringe any third-party rights.

8. Health Declaration and Absence of Medical Advice

Not medical advice: The Service constitutes a technological tool for nutritional management and tracking only, and does not constitute professional medical, nutritional, health or dietary advice, and is not a substitute for advice from a physician, clinical dietitian or qualified professional. The information, recommendations, insights and nutritional values presented in the Service are intended for enrichment, personal tracking, and informational purposes only.

Personal responsibility: Reliance on the information, insights and analyses presented in the Service is the sole responsibility of the user. The user must consult a qualified medical professional regarding their health condition, existing medical conditions, allergies, sensitivities, pregnancy, breastfeeding, medication use, and any material nutritional decision. The Company does not guarantee any personal, professional, medical, health or aesthetic outcome, and use of the Service does not create a practitioner-patient relationship between the Company and the user.

Accuracy of nutritional data: The analysis of images and nutritional values in the Service is based on artificial intelligence algorithms and external databases. The Company makes reasonable efforts to ensure the accuracy of the analyses, but does not guarantee absolute accuracy of the nutritional values presented, and deviations, inaccuracies or errors may occur. The user acknowledges that they are aware of the limitations of the technology and agrees that no cause of action shall arise for any claim or lawsuit in connection with these inaccuracies.

9. Disclaimers and Limitation of Liability

Service availability: We strive to provide you with the Service and the content presented therein without interruptions, but interruptions in the availability of the Service or non-conformities may occur due to technical considerations, third-party malfunctions or others. The user declares that they are aware that the Company bears no liability whatsoever for this, and waives any lawsuit, claim or demand against the Company and anyone on its behalf in this matter.

The Service is provided "AS IS": The Service is provided as is and as it may be available from time to time, without any warranty, express or implied, including warranty of merchantability, fitness for a particular purpose, non-infringement, or continuity of operation. The Company does not guarantee that the Service will suit the user's needs or provide any particular results.

Disclaimer of liability: The user absolutely and irrevocably releases and discharges the Company and anyone on its behalf from liability for any type of damage, inconvenience, loss of information of any kind, mental anguish, loss, expenses, or tortious compensation of any kind, caused directly or indirectly to the user or to any third party as a result of the use of the Service and its contents.

Limitation of liability: To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential or punitive damage arising from or related to the use of the Service, even if the Company was warned in advance of the possibility of such damages occurring. In any event, the Company's total liability toward the user shall not exceed the amount actually paid by the user to the Company during the twelve months preceding the event that is the subject of the claim, if paid, or the sum of NIS 100 (one hundred), whichever is lower.

Changes to the Service: The Service may undergo changes, upgrades and improvements on a frequent basis. The Company is entitled to change any aspect related to the Service, without the need to provide prior notice, and the user shall have no claim, lawsuit or demand against the Company on account of making such changes or malfunctions that occur in the course of making them.

10. Privacy and Data Protection

Image retention policy: For the purpose of managing storage and maintaining the Service's performance, food images uploaded to the app are retained for a period of up to 14 days. Images older than 14 days may be automatically deleted from our servers and will no longer be accessible. We recommend that users locally save any significant data or images.

11. Non-Competition and Anti-Competitive Use

By using the Service, you agree that you will not, directly or indirectly, make any use of the information, data, technology or proprietary knowledge to which you were exposed through the Service, for the purpose of developing, marketing or promoting any product, service or application that competes with Cali. Furthermore, you undertake not to approach, solicit or recruit users, employees or business partners of the Company for the purpose of competing activity.

Any attempt to make use of our proprietary platform, the API structure, the algorithms, the models, the aggregate data, or any other internal information for the purpose of building a competing solution is strictly prohibited and constitutes a material breach of the Terms of Use, which shall grant the Company the right to any remedy provided by law, including an injunction, monetary compensation, and any other remedy.

12. Changes to the Terms of Use

The Company reserves the right to update or change these Terms of Use from time to time, at its sole discretion. Changes will take effect immediately upon their publication in the app or on the website, or upon their being sent to the user by email, whichever is earlier. It is your responsibility to review these Terms from time to time in order to check for updates. Continued use of the Service after the date of publication of the changes shall constitute renewed and full consent to the updated terms.

13. Governing Law and Jurisdiction

Governing law: These Terms of Use, and anything arising from or related to them, shall apply, be interpreted and be enforced solely in accordance with the laws of the State of Israel, without the application of international conflict-of-law rules.

Jurisdiction: The exclusive place of jurisdiction for any matter relating to these Terms or to the use of the Service is the competent courts in the city of Tel Aviv-Yafo only, which shall have the sole and exclusive authority to hear any dispute or lawsuit.

14. General Provisions

Electronic signature: Registration for the Service is carried out through the Company's online registration system, which shall be deemed for all intents and purposes as the user's written signature, and as binding confirmation of joining the Service. Such electronic signature shall have binding legal force in accordance with the provisions of the Electronic Signature Law, 5761-2001, and shall be deemed sufficient evidence of the user's consent to the Terms.

Waiver of claims: The user waives any claim, demand or lawsuit against the Company on account of not reading the Terms, lack of knowledge of any term, or reliance on oral or written representations not expressly included in these Terms. These Terms constitute the binding and complete agreement between the parties.

Severability: In the event that a competent tribunal determines that a provision of these Terms is unenforceable or invalid, the remaining provisions of the Terms shall remain in full force.

No waiver: Any delay by the Company in exercising a right to which it is entitled under these Terms, or its refraining from exercising its right as stated, shall not be deemed a waiver of its rights.
